BY-LAW NUMBER 2922-87
OF THE MUNICIPAL CORPORATION OF THE TOWN OF AURORA
BEING A BY-LAW to approve the transfer
of an easement to Insul ec Ltd. and
Universal Insulations Holdings Limited
(herein collectively called "Universal").
WHEREAS, this Corporation is now seized and possessed of the lands
mentioned in Schedule ''A" appended hereto;
AND WHEREAS, Universal has approached this Corporation to obtain an
easement over the lands mentioned in Schedule "A'' to construct, install, and
operate railway sidings on the said lands and this Corporation has agreed to
transfer such an easement to Universal;
NOW, THEREFORE, The Corporation of the Town of Aurora hereby enacts as
By-law No. 2922-87 of The Corporation of the Town of Aurora the following:
1. That this Corporation transfer an easement to Uni versa 1 over the
lands mentioned in Schedule "A" to construct, install, and operate
railway sidings on the said lands and having terms substantially
as set out in Schedule "B" appended hereto; and
2. That the Mayor and Clerk be authorized to sign and execute under
the seal of The Corporation of the Town of Aurora all documents
necessary to effect the transfer of the easement to Universal over
the lands mentioned in Schedule "A".
3. That By-law 2890-87 be and is hereby repealed.

WHEREAS:
1. The Transferor is the registered owner of those lands comprised of Part of Lots 158
and 159, Registered Plan 246, in the Town of Aurora, in the Regional Municipality
of York designated as Part 1, Plan 65R-8417 (herein called the "Easement Lands").
2. Title to the lands comprised of Part of Lot 158 on said Plan 246, designated as Part
1 on Plan 66R-6239 (herein called "Insulec Lands") is recorded in the name of
Insulec Sales Limited.
3. Insulec Sales Limited and Universal Insulations Company Limited amalgamated and
continued as Universal Insulations Company Limited pursuant to articles of
amalgamation dated the 1st day of February, 1979, a notarial certificate of which
articles of amalgamation were registered in the Land Registry Office for the
Registry Division of York Region (No. 65) as Number
4. Universal Insulations Company Limited changed its name to Insulec Ltd. pursuant to
articles of amendment effective January 1, 1987, a notarial certificate of which
articles were registered in the said Land Registry Office as Number
5. Title to the lands comprised of Part of Lot ·159, on said Plan 246, designated as
Part 1, Plan 65R-7910 (herein called "Universal Holdings Lands") is in the name of
Universal Insulations Holdings Limited (herein called "Universal Holdings").
6. Insulec Ltd. and Universal Holdings are herein sometimes collectively referred to as
the Transferee.
7. The Insulec Lands and the Universal Holdings Lands are herein sometimes
collectively referred to as the "Dominant Lands".
8. Pursuant to a by-law passed by the Transferor on the day of
1987, a certified copy of which by-law is registered in the said Land Registry
Office as Instrument Number , the Transferor authorized ·
that an easement be granted to the Transferee.
WITNESSETH that in consideration of the premises, the sum of TWO ($2.00)
DOLLARS and other good and valuable consideration now paid by the Transferee to the
Transferor (the receipt and sufficiency of which is hereby acknowledged by the
Transferor), the Transferor grants to the Transferee, its successors and assigns and all
occupants and owners from time to time of the Dominant Lands the sole and exclusive
right, interest and easement at any time or times on, over, in, along, under and through
the Easement Lands as a servient tenement hereto for the following purposes namely: to
construct, install, operate, maintain, alter, remove, replace, reconstruct, enlarge and
repair railway sidings and appurtenances for every such purpose and for all purposes
necessary or incidental to the exercise of the rights hereby created and the Transferee
shall have access to the Easement Lands at all times by its servants, agents, contractors,
and its or their vehicles, supplies and equipment as . appurtenant to the dominant
tenement of the Transferee.
PROVIDED that the Transferee and those claiming ·under it will, as quickly as
conveniently possible, maintain and be responsible for the Easement Lands and will
ensure that they do not contravene any laws or regulations including, any federal,
provincial, or municipal laws or regulations or any regulations of Canadian National
Railway Company, and the Transferee and those claiming under it will comply forthwith,
at its own expense, with any orders or directives issued by any governmental body or
Canadian National Railway Company with respect to the Easement Lands.. Should the
Transferee and those claiming under it fail to so maintain the Easement Lands, or comply
forthwith with any orders or directives issued by any governmental body or Canadian
National Railway Company with respect to the Easement Lands, the Transferor may, upon
forty-eight hours' written notice to the Transferee or those claiming under it, enter upon
the Easement Lands and do the required work and charge the cost of the required work
to the Transferee or those claiming under it and should the Transferee or those claiming
under it fail to pay for the cost of the required work within thirty days of the
Transferor making written demand upon the Transferee or those claiming under it for the
payment of the cost· of the required work, the Transferor may add the said cost to the
tax roll of the Dominant Lands •

The right, Interest and easement herein is declared to be appurtenant to and for
the benefit of the Dominant Lands which shall include each and every part of the
Dominant Lands.
This agreement shall enure to the benefit of and be binding upon the Transferor
and the Transferee and their respective successors and assigns.
IN WITNESS WHEREOF the parties have hereto affixed their corporate seals under
the hands of their duly authorized signing officers as of the day and date first above

The right, interest and easement herein is declared to be appurtenant to and for
the benefit of the Dominant Lands which shall include each and every part of the
Dominant Lands.
This agreement shall enure to the benefit of and be binding upon the Transferor
and the Transferee and their respective successors and assigns.
